1. Parties and Acceptance

These Terms and Conditions govern your use of etienne.capital and any services provided by Etienne Capital, a trade name of Etienne International, with its registered office at Wilhelmina Tower, Wilhelminaplein 1, 3072 DE Rotterdam, The Netherlands. By accessing this website or submitting any form, you confirm that you have read, understood, and agree to these Terms in their entirety.

2. Nature of Services

Etienne Capital operates exclusively as a real estate wholesaler in the state of Florida. Our services consist of sourcing off-market properties, matching them with investor criteria, and facilitating the assignment of purchase contracts to qualified investors. We do not purchase, finance, manage, or take ownership of any real property. We are not licensed real estate agents or brokers under Florida law. Our role as a wholesaler is disclosed in writing to all parties before any agreement is signed, in full compliance with Florida House Bill 1263 (effective 2023).

3. Investor Wishlist Submissions

Submitting a property wishlist through this website constitutes an expression of interest only. It does not create any binding obligation on the part of Etienne Capital to locate, present, or assign any property. Etienne Capital makes no representation or warranty that a property matching your criteria will be identified or that any transaction will result from your submission.

4. Seller and Source Submissions

Submitting a property for evaluation through this website does not constitute a listing agreement, purchase agreement, or any other binding contract. Etienne Capital will evaluate submissions in its sole discretion and is under no obligation to present any property to investors or to enter into any agreement regarding a submitted property.

5. Assignment Window and Contract Terms

Where Etienne Capital enters into a purchase agreement with a seller for the purpose of contract assignment, such agreement includes a defined assignment window, typically thirty (30) calendar days. If Etienne Capital is unable to identify and assign a qualified buyer within the agreed window, the agreement terminates and the seller retains full ownership and freedom to transact with other parties. The specific terms of each purchase agreement govern that transaction and are documented in a separate written contract signed by all relevant parties.

6. Fees

Etienne Capital charges a fee for each completed transaction. The fee amount is agreed in writing on a per-transaction basis prior to any agreement being signed. No fee is charged for submitting a wishlist or a property, or for any introductory call or meeting. All fees are processed exclusively through a licensed Florida Title Company as part of the closing procedure. Etienne Capital does not collect fees directly from any party.

7. No Guarantee of Results

Real estate markets are subject to conditions beyond the control of any intermediary. Etienne Capital makes no representation, warranty, or guarantee regarding the value, condition, title, or marketability of any property, or regarding the financial outcome of any transaction. Past introductions do not guarantee future results. All investment decisions are the sole responsibility of the investor.

8. Fair Housing and Equal Opportunity

Etienne Capital is committed to the principles of the Fair Housing Act and equal opportunity in all property introductions and business dealings. We do not discriminate on the basis of race, color, religion, national origin, sex, familial status, disability, or any other characteristic protected by applicable federal, state, or local law.

9. Accuracy of Information

Etienne Capital relies on information provided by sellers, owners, and other sources. We do not independently verify title, ownership, encumbrances, zoning, environmental conditions, or any other property characteristic unless expressly stated. All parties are encouraged to conduct their own due diligence and to seek independent legal, financial, and property advice before entering into any transaction.

10. Confidentiality

Information submitted through this website, including property details and investor criteria, is treated with discretion. Etienne Capital may share relevant information between matched parties as part of facilitating an introduction. By submitting information, you consent to such sharing for the purpose of a potential transaction.

11. Intellectual Property

All content on etienne.capital, including text, design, graphics, and the Etienne Capital name and logo, is the property of Etienne International. No content may be reproduced, distributed, or used without prior written permission.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Etienne Capital and Etienne International shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use of this website, the submission of information, or any transaction or failed transaction introduced through our services. Our total liability, in any circumstance, shall not exceed the fee received by Etienne Capital in the specific transaction giving rise to the claim.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Miami-Dade County, Florida, unless otherwise agreed by the parties in writing.

14. Dispute Resolution

The parties agree to attempt to resolve any dispute arising from these Terms or any transaction through good-faith negotiation before initiating any formal legal proceeding. If negotiation fails, the parties may agree in writing to submit the dispute to binding arbitration under the rules of the American Arbitration Association before resorting to litigation.

15. Privacy

Your use of this website is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. Modifications

Etienne Capital reserves the right to modify these Terms at any time. Changes become effective upon publication to this website. Continued use of the website following any modification constitutes acceptance of the updated Terms.
